Terms of Service

The agreement between you and PostedApi, written as plainly as we could manage.

Effective September 26, 2026

The Service is operated by an independent company under the PostedApi brand. Corporate name, registration number and registered address are being finalized and will be published on this page before they are required.

1. Accepting these terms

These Terms of Service (the "Terms"), together with our Privacy Policy and the Data Processing Addendum incorporated by reference (the "DPA"), form the entire agreement between PostedApi ("PostedApi", "we", "us") and you ("you", "your"). They govern your access to and use of the postedapi.org website (the "Site"), the PostedApi web application and the PostedApi email services (together, the "Service").

By creating an account or using the Service, you confirm that you have read and agree to these Terms. We may update them from time to time; we will post the revised version on this page and update the date above, and for significant changes we will also email the address on your account. Continued use of the Service after an update means you accept the revised Terms. If you do not agree — including with the dispute resolution and arbitration provisions in Section 20 — you must stop using the Service.

Some features may carry additional terms. Where those terms conflict with these, the additional terms win for that feature.

2. Eligibility and authority

You must be at least 18 years old to use the Service. If you use it on behalf of a company or another person, you represent that you are authorized to accept these Terms on their behalf and that they will be responsible if you violate them.

3. Communications

We send service-related messages electronically — account notices, security alerts, billing receipts and similar. You agree that electronic communications from us satisfy any legal requirement that they be in writing.

4. Accounts, passwords and security

You need a registered account to use the Service. Keep your account details accurate and up to date. You are responsible for protecting your password and for everything that happens under your account, so do not share your credentials. Do not try to access other users' accounts or data. If you suspect unauthorized access, tell us immediately at [email protected].

5. Privacy and the DPA

Our Privacy Policy explains how we collect, use and disclose personal information. The DPA applies whenever we process personal data on your behalf while providing the Service; you can request a signed copy from [email protected].

6. Acceptable use

An email service is only as good as the sending behavior of its customers: one careless sender can damage deliverability for everyone. That is why we are strict about what may be sent through PostedApi, and we enforce these rules for every account without exception.

a) Email we do not allow

  • Cold outreach and purchased lists. No prospecting email to people who never asked to hear from you, and no lists bought, rented, scraped or harvested from third parties.
  • Marketing blasts on transactional streams. Promotional campaigns belong on a broadcast stream, not mixed in with receipts and notifications.
  • Phishing, scams and deception. Nothing fraudulent, impersonating another person or service, or designed to trick recipients into surrendering data or money.
  • Illegal goods or services. Nothing that violates applicable law where you or your recipients are.
  • Adult content, gambling and similar verticals without our explicit written approval in advance.
  • "Safe sender" schemes. Do not ask recipients to add you to their address book as a deliverability trick, and do not seed your mail to yourself to game reputation.

b) Other things you may not do

  • Probe, scan, stress-test or breach the Service or its security, or interfere with other customers' use of it.
  • Reverse engineer the Service except where the law expressly forbids us from prohibiting it.
  • Use the Service to harass, threaten or spam anyone, or to generate complaints above industry-acceptable thresholds.
  • Misrepresent your identity, your organization or the origin of your mail, including header or domain spoofing.
  • Resell access to the Service without written permission.

c) Good sending practices

  • Only send to recipients who gave you permission, and honor unsubscribe requests immediately and without hoops.
  • Keep complaint rates near zero and process bounces promptly — our suppression lists exist to help with this.
  • Send from domains you control, with working SPF, DKIM and DMARC records.
  • Be honest in subject lines: no misleading claims, no fake replies, no deceptive urgency.
  • Include your physical mailing address where the law requires it.

d) Compliance with laws

You are responsible for complying with the laws that apply to your sending, including CAN-SPAM, CASL, the ePrivacy Directive and GDPR as relevant, plus any marketing or consumer-protection rules in the countries where your recipients live.

7. Feedback

If you send us ideas, suggestions or feedback about the Service, you grant us a perpetual right to use them however we like, without owing you royalties or anything else. We appreciate it all the same.

8. Publicity

You may say truthful things about using PostedApi, and we may refer to you as a customer or display your name or logo on our Site — unless you opt out by writing to [email protected].

9. Our content

The Site and the Service — including their design, text, graphics and underlying code — are owned by us or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use them as intended under these Terms. Nothing in these Terms transfers ownership to you.

10. Third-party content and services

The Service may link to or integrate with third-party services (payment processors, analytics providers, infrastructure hosts). We are not responsible for their content, policies or practices, and their own terms apply to your use of them.

11. Fees

a) Plan-based billing

Paid plans are billed monthly in advance based on your selected plan and volume tier. If you send beyond your included volume, overage charges apply at the rate shown on our pricing page. Optional add-ons (dedicated IPs, extended retention, DMARC monitoring) are billed in addition and are identified as such before you enable them.

b) Chargebacks

If you dispute a charge with your bank or card issuer instead of contacting us first, and the dispute is resolved in our favor, you remain responsible for the original charge plus any fees incurred in resolving it. Talk to us — we answer quickly and refund genuine mistakes.

c) Payment information

Payment card details are processed by our PCI-compliant payment processor; we never see or store your full card number. If a payment fails, we will retry and may suspend the Service until the balance is settled.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR COMPLETELY SECURE. WE DO NOT WARRANT THAT EVERY EMAIL WILL BE DELIVERED, SINCE DELIVERY ULTIMATELY DEPENDS ON THIRD-PARTY MAILBOX PROVIDERS.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL POSTEDAPI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA OR LOSS OF GOODWILL — ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (US$100) IF YOU PAID NOTHING. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

14. Indemnification

You will defend and indemnify us against any third-party claim, liability, damage, loss and expense (including reasonable legal fees) arising from your use of the Service, your content, your sending practices, or your breach of these Terms.

15. Release

To the extent permitted by law, you release us from claims and damages of every kind, known and unknown, arising out of or in any way connected with disputes you have with any third party in connection with the Service.

16. Termination

You can stop using the Service and close your account at any time from your account settings; paid plans remain billable until the end of the current billing period. We may suspend or terminate your access immediately if you breach these Terms — in particular the acceptable use rules — or if we reasonably believe your sending harms the Service, other customers or recipient mailboxes. After termination, your data is handled as described in our Privacy Policy: you can export it first, and we delete it within 30 days except where the law requires otherwise.

17. Intellectual property; license

You keep all rights to your content, including the emails you send through the Service. You grant us only the license needed to process and deliver that content, plus the right to use anonymized, aggregated operational data to run, secure and improve the Service. The PostedApi name, logo and the Service itself remain our property or that of our licensors.

18. Transfer and processing of data

You acknowledge that we may process and store your data, including personal data contained in your emails, in data centers located outside your country — including in the United States — and that such data may be transferred to and processed in jurisdictions with different data-protection laws. Where required, we rely on appropriate safeguards such as Standard Contractual Clauses as described in the DPA.

19. Export control, sanctions and anti-corruption

a) Export and sanctions

You represent that you are not located in, and are not controlled by a person or entity located in, a country subject to comprehensive sanctions, and that you are not on any restricted-party list. You will not use the Service in violation of export control or sanctions laws.

b) Anti-corruption

You will comply with applicable anti-bribery and anti-corruption laws, and have not offered or received anything of value in connection with these Terms in violation of those laws.

20. Government use

If you are a U.S. government entity, the Service is a "commercial item" as defined in FAR 2.101, consisting of "commercial computer software" and "commercial computer software documentation", and your rights are limited to those granted to all customers under these Terms.

21. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control — natural disasters, war, terrorism, labor disputes, utility or telecommunications failures, actions of government, or failures of third-party cloud or mailbox providers — provided we act reasonably to mitigate their impact on the Service.

22. Dispute resolution; binding arbitration

Before filing any claim, you agree to try to resolve it informally by contacting us at [email protected]; we will do the same. If we cannot resolve a dispute within 60 days, it will be settled by binding arbitration rather than in court, except that either party may bring an individual claim in small claims court or seek injunctive relief for intellectual-property or confidentiality violations. There is no judge or jury in arbitration, and review of an award is limited. You and we agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding. The arbitration will be administered under the rules of a major arbitration body, conducted in English, and may be held remotely by agreement.

23. Governing law and venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. The exclusive venue for any permitted court proceeding is the state or federal courts located in Delaware, and both parties consent to their jurisdiction.

24. Severability

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the rest of the Terms remain in full effect.

25. Cancellations and refunds

All plans are billed month to month, with no long-term commitment. You can change your plan, enable or disable add-ons, or cancel your account at any time from the Plans & Add-ons tab of your Account page. Cancellation takes effect at the end of the current billing period: you keep full access until then, and nothing further is charged after it.

We do not refund partial billing periods, though we may choose to at our own discretion. Verified billing errors — a charge that should never have happened — are always refunded in full; write to [email protected] and we will sort it out.

Add-ons you disable stop being billed from the next billing period onward. The current period is never prorated.

26. Miscellaneous

These Terms, together with the documents they incorporate, are the entire agreement between you and us about the Service. Any different or additional terms you propose — in a purchase order or otherwise — are rejected and void. Our failure to enforce a provision is not a waiver of it. Headings are for convenience only. You may not assign these Terms without our prior written consent; we may assign them to a successor to our business. These Terms may be accepted and signed electronically.
